Dispatch Services Agreement
Flux Freight LLC ("Dispatcher") & Owner-Operator / Carrier ("Carrier")
1. Scope of Services Dispatcher sources, negotiates, and coordinates freight loads on Carrier's behalf, including rate negotiation, load booking, and paperwork coordination.
2. Independent Contractor Carrier remains an independent business at all times. No employment, agency, or partnership relationship is created.
3. Dispatch Fee Carrier pays a dispatch fee of 5%–10% of the gross linehaul rate per load, agreed upfront before dispatch begins.
4. No Forced Dispatch Carrier approves every load before it is booked. Equipment is never committed without Carrier's consent.
5. Carrier Responsibilities Carrier maintains valid authority, insurance, and ELD compliance, and provides the documents listed above.
6. Payment Terms Dispatch fee is deducted prior to payout or invoiced separately, as agreed in writing between the parties.
7. Confidentiality Both parties keep rate, lane, and business information confidential.
8. Term & Termination No fixed term. Either party may terminate this Agreement at any time with notice.
9. Indemnification Each party is responsible for its own acts and omissions in performing this Agreement.
10. Governing Law This Agreement is governed by the laws of the State of Wyoming.
